These terms govern your use of CareOps, operated by FORGEAI STUDIO LTD (trading as NovaStack) ("we", "us"). By creating an account or using the platform, you agree to these terms.
1. Our role — a technology platform
CareOps is a technology platform that connects independent carers, recruitment agencies and care providers, and helps them record and manage workforce information (profiles, availability, opportunities, compliance documents and messaging).
- We do not provide care and are not a care provider or a domiciliary, residential or supported-living service.
- We do not employ, engage or supply carers, and we are not an employment agency or employment business, unless we have expressly agreed otherwise in writing.
- We do not make recruitment, hiring, engagement or placement decisions. Those decisions rest solely with agencies, recruiters and care providers.
- We provide tools to record and surface information. Except where an approved third-party verification provider is connected and this is expressly stated, we do not independently verify identity, right to work, DBS status, qualifications or references. A document being uploaded or marked "verified by agency" reflects an action taken by a user of the platform, not a check performed by us.
2. Responsibilities of each party
Recruitment agencies and recruiters remain solely responsible for recruitment; pre-engagement and employment checks (including right-to-work and DBS verification); final hiring and placement decisions; ongoing suitability and supervision; safeguarding obligations; and compliance with the Working Time Regulations 1998, National Minimum Wage rules and their own regulatory obligations.
Care providers remain solely responsible for the delivery and quality of care, for their CQC (or equivalent regulator) registration, and for the safety of the people they support.
Carers are responsible for keeping their profile, documents and availability accurate and up to date, and for holding the qualifications, registrations and right to work they present.
3. Accounts
You must be 18+, provide accurate information, keep credentials secure, and notify us immediately of any unauthorised access. Each user must have their own account; sharing is prohibited.
4. Customer responsibilities
- Maintain accurate records and ensure information you enter is lawful and correct.
- Ensure all uploaded content is lawful and that you have rights to share it.
- Independently verify right to work, DBS status and any required professional registrations (e.g. NMC/HCPC where applicable) — the platform records these but does not verify them for you.
- Comply with the Working Time Regulations 1998 and National Minimum Wage rules.
5. Subscription & payment
Subscription fees are billed monthly or annually in advance. Late payment may result in suspension. All fees are exclusive of VAT. Carers use the platform free of charge.

7. Intellectual property
All software, branding (other than tenant branding you upload), and documentation are owned by FORGEAI STUDIO LTD (trading as NovaStack). You retain ownership of data you upload; you grant us a licence to host and process it for the purpose of providing the service.
8. Liability
To the maximum extent permitted by law, our aggregate liability is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential or special damages, or for loss of profit, business or data. Nothing in these terms limits liability that cannot be limited by law. As set out in section 1, we are not responsible for recruitment or hiring decisions, the suitability or conduct of any carer, agency or provider, or the delivery of care.
9. Termination
Either party may terminate on 30 days' notice. We may suspend immediately for breach. On termination you may export your data within 30 days, after which it will be deleted in line with our retention schedule.
10. Governing law
These terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
